Terms of Use

Please carefully read the following provisions of these Terms of Use ("Terms"). This is a legal agreement between you and CNP INFOTECH INC and its various versions and successors regarding your use of the software program and related documentation ("Software") installed on your device. By downloading the Software and/or using any services enabled by the Software ("Services"), you confirm that you have read, understood, and agree to be bound by the following terms and conditions (including any additional guidelines and future modifications) as well as the Privacy Policy, which is incorporated by reference herein and can be found at https://cnptechteams.com/privacy.html. If you do not agree to these Terms at any time, you may not use the Software or Services and must immediately terminate your use of the Software and all Services.

License Grant

The Software is protected by copyright law and international copyright treaties as well as other intellectual property laws and treaties. The Software includes confidential and proprietary trade secrets and information, and you agree to take all necessary measures to protect the confidentiality of such information. All ownership of the Software and Services, including any related documentation and any new versions, modifications, and enhancements, belongs solely to its licensors, including all intellectual property rights therein. The Software is licensed, not sold. Ownership does not transfer to you. There are no implied licenses, rights, or interests in any copyright, patent, trade secret, trademark, invention, or other intellectual property. CNP TECH expressly reserves all rights not expressly granted to you in the Software and all Services.

Ownership

If you downloaded the Software from application markets such as the Apple App Store and Google Play, this section applies to you. CNP TECH and you acknowledge that these Terms are entered into solely between CNP TECH and you, and not with the application market, and that CNP TECH (not the market) is solely responsible for the Software and Services and their content. These Terms are not intended to provide usage rules more permissive than those governing the use of the licensed applications or to conflict with the service terms of the application market in effect as of the date of these Terms.

Restrictions

You are granted a license to use only the object code version of the Software. You may not (i) copy, modify, adapt, translate into any language, distribute, or create derivative works based on the Software or any Services; (ii) sublicense, rent, lease, lend, transfer, sell, license, distribute, rent, export, re-export, or grant other rights in the Software or Services, and any attempt to do so shall be null and void; (iii) decompile, disassemble, reverse engineer, or attempt to reconstruct, identify, or discover any source code, underlying ideas, user interface techniques, or algorithms of the Software or any Services; (iv) remove, obscure, or alter any copyright and/or other proprietary notices contained in or related to the Software or any Services; (v) use the Software or any Services to create or distribute viruses or to circumvent any copy protection or other digital rights management mechanisms.

Content

All content transmitted through the use of the Software and Services is the sole responsibility of the content provider. You assume all risks associated with the use of the Software and Services and understand that by using the Software or any Services, you may be exposed to content that is offensive, harmful to minors, obscene, or otherwise objectionable. CNP TECH does not endorse any content and expressly disclaims any and all liability related to the use of any and all content transmitted or displayed through the Software and/or Services. You hereby release CNP TECH from any and all claims and demands arising out of or related to any content.

New Versions of Software

CNP TECH reserves the right to add additional features or functionalities to the Software or Services, or to modify or provide programming fixes, updates, and upgrades at its discretion. CNP TECH is not obligated to provide you with any additional features or functionalities or any modifications, updates, support, maintenance, or subsequent versions of the Software or any Services. If you wish to download, install, or use any additional features or functionalities or any modifications, updates, or new versions of the Software, you may need to agree to the Terms of Use for the updated version. You acknowledge that CNP TECH may automatically release any additional features or functionalities or modifications, updates, or upgrades of the Software and accordingly modify, update, or upgrade the version of the Software you are using or have installed on your device. You hereby agree that your device may automatically request and/or receive such modifications, upgrades, or updates.

Eligibility

The license to use the Software and Services is void in any jurisdiction where prohibited. The Software and Services are intended for users who are thirteen (13) years of age or older; any person under the age of 13 registering, using, or accessing the Software or Services is unauthorized and in violation of these Terms.

Termination

Without limiting any other remedies, CNP TECH may immediately, automatically, with or without notice, and without resorting to court, restrict, suspend, stop, or terminate these Terms and/or your use of all or part of the Software and/or Services for any reason or no reason, including but not limited to if CNP TECH believes you (i) have violated any term of these Terms, (ii) have created problems or legal liabilities (actual or potential), (iii) are delinquent on any payments for premium and all types of paid content and project services, (iv) have infringed the intellectual property rights of a third party, or (v) are engaged in fraudulent, immoral, or illegal activities. You agree that CNP TECH has no obligation to provide services, including but not limited to any premium and all types of paid content and project services, and that CNP TECH shall not be liable to you or any other party for any restriction, suspension, stoppage, termination, or modification of the Software and/or any Services.

Feedback

Any comments, suggestions, or feedback submitted to CNP TECH related to the Software or any Services shall become the exclusive property of CNP TECH. CNP TECH shall have exclusive ownership of the feedback. CNP TECH may use the feedback for any commercial or other purpose without compensating you or any other party. CNP TECH is under no obligation to treat any feedback as confidential. You agree that you will not gain any rights to the Software or any Services due to any feedback you provide. You acknowledge that you are responsible for any materials you submit, including their legality, reliability, appropriateness, originality, and copyright.

Entire Agreement

These Terms represent the entire agreement regarding the matters covered and may only be amended in writing signed by both parties, except as stated above. If any provision of these Terms is found to be unenforceable, that provision shall be modified only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
